1. Introduction and Acceptance of Terms

Welcome to MapleMarket, operated by MapleMarket Inc. ("MapleMarket," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the MapleMarket website, mobile applications, and all related services (collectively, the "Platform").

By creating an account, accessing, browsing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Cookie Policy, Prohibited Items Policy, and Safety Guidelines, all of which are incorporated by reference. If you do not agree with any part of these Terms, you must immediately stop using the Platform.

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Effective Date" above. We may also send you an email notification at the address associated with your account. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.

2. Platform Status — Intermediary Role

MapleMarket operates solely as an online classifieds marketplace that provides a venue for users to post, browse, and respond to listings. We act exclusively as an intermediary platform connecting potential buyers and sellers. It is critical that you understand the following:

• We do not own, possess, sell, resell, provide, control, manage, offer, deliver, or supply any of the goods or services listed on the Platform
• We are not a party to any transaction, agreement, or contract between users
• We do not act as agent, broker, dealer, auctioneer, consignment shop, or escrow service for any user
• We do not guarantee the existence, quality, safety, legality, accuracy, or lawfulness of any listed item or service
• We do not verify, confirm, or guarantee the identity, background, creditworthiness, or trustworthiness of any user
• We do not transfer legal ownership or title of any item
• We do not process payments, handle shipping, provide delivery, offer refunds, or mediate disputes between users
• We do not provide any warranty, guarantee, or insurance on any transaction

All transactions are conducted entirely at the users' own risk. Any agreement or dispute between a buyer and a seller is solely between those parties. MapleMarket has no obligation to become involved in any dispute between users and shall bear no liability whatsoever for such disputes.

3. Eligibility and Account Registration

To use certain features of the Platform, including posting listings or contacting sellers, you must create an account. By registering, you represent and warrant that:

• You are at least 18 years of age, or the age of legal majority in your province or territory of residence, whichever is greater
• You have the legal capacity to enter into a binding agreement
• All information you provide during registration and thereafter is truthful, accurate, current, and complete
• You will promptly update your account information if any changes occur
• You will maintain only one active account on the Platform
• You will not create an account on behalf of another person without their explicit written authorization
• You have not previously been suspended or removed from the Platform

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You are responsible for all activities that occur under your account, whether or not you have authorized such activities. You agree to notify us immediately at support@maplemarketapp.com if you become aware of any unauthorized use of your account or any other breach of security. MapleMarket will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Listing Rules and Seller Obligations

When you post a listing on MapleMarket, you represent and warrant that:

• You are the lawful owner of the item or have been expressly authorized by the owner to sell or offer it
• The listing accurately and completely describes the item or service being offered, including its condition, features, defects, and any material facts a reasonable buyer would want to know
• All prices are clearly stated in Canadian dollars (CAD) and include any mandatory fees or charges, unless clearly stated otherwise
• All images and media are original photographs of the actual item being offered — stock images, images from other listings, and images taken from the internet are not permitted
• The item or service complies with all applicable federal, provincial, and municipal laws and regulations
• The listing does not violate our Prohibited Items Policy or any other MapleMarket policy
• You will respond to inquiries in a timely and honest manner
• You will promptly remove or mark as sold any listing for an item that is no longer available

MapleMarket reserves the right to limit the number of listings per account, set listing duration periods, and establish other listing parameters at its sole discretion.

5. Communication and Messaging Rules

The Platform provides a messaging system for buyers and sellers to communicate regarding listings. When using this system or any other means of contact facilitated by the Platform, you agree to the following:

• You will not harass, threaten, intimidate, stalk, or abuse any other user
• You will not send unsolicited commercial messages, spam, or advertisements
• You will not use contact information obtained through the Platform for any purpose unrelated to a specific listing or transaction
• You will not share, sell, or distribute other users' personal or contact information to any third party
• You will not use the messaging system to conduct activities that violate these Terms or any applicable law
• You will not attempt to move communications off-platform for the purpose of evading our safety measures or policies

6. Prohibited Conduct

You agree that you will not engage in any of the following prohibited activities while using the Platform:

• Posting false, misleading, deceptive, or fraudulent listings or content
• Manipulating prices, engaging in shill bidding, or artificially inflating demand
• Impersonating any person, business, or entity, or falsely claiming an affiliation
• Using any automated system, software, bot, spider, scraper, or crawler to access, monitor, copy, or extract data from the Platform without our prior written consent
• Collecting, harvesting, or storing personal information of other users without their explicit consent
• Interfering with, disrupting, or attempting to gain unauthorized access to the Platform's systems, servers, or networks
• Circumventing, disabling, or tampering with any security, authentication, or technological measures of the Platform
• Reproducing, duplicating, copying, selling, or exploiting any portion of the Platform for commercial purposes without our express written permission
• Using the Platform to facilitate money laundering, terrorist financing, or any other financial crime
• Engaging in any activity that violates any applicable federal, provincial, or municipal law or regulation
• Assisting or encouraging any other person to engage in any of the above prohibited activities

7. Content Moderation and Enforcement

MapleMarket reserves the right, but has no obligation, to monitor, review, edit, remove, or disable access to any content posted on the Platform, in whole or in part, at any time and for any reason, without prior notice. We may take any of the following enforcement actions at our sole discretion:

• Remove, modify, or hide any listing or user-generated content
• Issue warnings to users who violate these Terms
• Temporarily suspend or permanently terminate any user account
• Restrict access to certain features or services
• Refuse to provide service to any user
• Report violations to law enforcement authorities when we believe it is necessary or required

Our decision to take or refrain from taking enforcement action in one instance does not waive our right to take action in another instance. We are under no obligation to provide notice or explanation for any enforcement action, although we may choose to do so at our discretion.

8. User-Generated Content License

By posting, uploading, or submitting any content to the Platform — including but not limited to text, photographs, images, descriptions, and other materials ("User Content") — you grant MapleMarket a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, display, distribute, and store your User Content solely for the purposes of operating, promoting, and improving the Platform.

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to grant this license, and that your User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.

You retain all ownership rights in your User Content. You may remove your User Content from the Platform at any time by deleting the relevant listing or content from your account. Upon deletion, we will make commercially reasonable efforts to remove the content, although cached or archived copies may persist for a reasonable period.

9. Intellectual Property Rights

The MapleMarket name, logo, brand elements, design, layout, graphics, user interface, visual elements, and all related trademarks, service marks, and trade dress are the exclusive property of MapleMarket Inc. and are protected under Canadian and international intellectual property laws. You may not use, reproduce, modify, or distribute any of our intellectual property without our prior written consent.

All software, source code, algorithms, and underlying technology powering the Platform are proprietary to MapleMarket or its licensors and are protected by copyright, trade secret, and other intellectual property laws. No license or right to such materials is granted to you by these Terms except as expressly stated herein.

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAPLEMARKET EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT ON THE PLATFORM
• WARRANTIES REGARDING THE QUALITY, SAFETY, LEGALITY, OR AVAILABILITY OF ANY ITEMS LISTED ON THE PLATFORM
• WARRANTIES REGARDING THE CONDUCT, IDENTITY, OR TRUSTWORTHINESS OF ANY USER

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PLATFORM AND ANY TRANSACTIONS YOU ENTER INTO WITH OTHER USERS ARE ENTIRELY AT YOUR OWN RISK. MAPLEMARKET MAKES NO GUARANTEES REGARDING THE OUTCOME OF ANY TRANSACTION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT SHALL MAPLEMARKET, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE PLATFORM
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT, TRANSMISSIONS, OR DATA
• STATEMENTS, CONDUCT, OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
• ANY DAMAGES ARISING FROM TRANSACTIONS BETWEEN USERS

IN NO EVENT SHALL MAPLEMARKET'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO MAPLEMARKET, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

12. Indemnification

You agree to indemnify, defend, and hold harmless MapleMarket, MapleMarket Inc., and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Platform
• Your violation of these Terms or any applicable law or regulation
• Your User Content or any listing you post on the Platform
• Any transaction or dispute between you and another user
• Your violation of any rights of a third party, including intellectual property, privacy, or publicity rights
• Any claim that your User Content caused damage to a third party

This indemnification obligation survives the termination of your account and these Terms.

13. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by MapleMarket. We provide these links for your convenience only and do not endorse, sponsor, or assume any responsibility for the content, products, services, privacy practices, or policies of any third-party website or service.

You acknowledge and agree that MapleMarket is not responsible or liable for any damage or loss caused by or in connection with your use of or reliance on any third-party content, products, or services. We strongly encourage you to read the terms and privacy policies of any third-party website or service you visit.

14. Account Termination

You may terminate your account at any time by contacting us at support@maplemarketapp.com or through the account settings on the Platform. MapleMarket may suspend or terminate your account, or restrict your access to the Platform, at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violations of these Terms, fraudulent or illegal activity, extended inactivity, or a request from law enforcement.

Upon termination, your right to use the Platform will immediately cease. Any provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including but not limited to the sections on Limitation of Liability, Indemnification, Disclaimers, Intellectual Property, and Governing Law.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the courts of competent jurisdiction located in the Province of Ontario, Canada, and you irrevocably submit to the personal jurisdiction of such courts.

Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at support@maplemarketapp.com. If the dispute is not resolved within thirty (30) days of the initial contact, either party may proceed with formal legal action.

16. General Provisions

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Prohibited Items Policy, and Safety Guidelines, constitute the entire agreement between you and MapleMarket with respect to your use of the Platform and supersede all prior agreements and understandings.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by MapleMarket.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MapleMarket may assign its rights and obligations under these Terms without restriction.

Force Majeure. MapleMarket shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, labour disputes, internet outages, or power failures.

17. Reporting Abuse and Contact

If you encounter content or behaviour that violates these Terms, please report it immediately using the "Report this listing" button available on every listing page. You may also contact us directly at:

We take all reports seriously and will review them as promptly as reasonably possible. However, we do not guarantee any specific timeline for review or action, and we are not obligated to disclose the outcome of our review to the reporting party.
